1. Introduction

1.1

Welcome to the Cdiscount platform (“Website”). Before using this Website or opening a Cdiscount account (“Account”), please carefully read the following Terms of Service (“Terms”) to understand your legal rights and obligations with Cdiscount Mobile France S.A.S. (Company Registration Number: 424 059 822) and its affiliates and subsidiaries (individually or collectively referred to as “Cdiscount,” “we,” or “our”).

The “Services” we provide or make available include:
(a) The Website;
(b) Services provided via the Website and the Cdiscount client software;
(c) All information, linked pages, features, data, text, images, photos, graphics, music, sound, video (including live streaming), messages, tags, content, programming, software, applications (including but not limited to mobile application services), or other materials provided through the Website or related services (“Content”).

Any new or enhanced features are also subject to these Terms. These Terms apply to your use of the Services provided by Cdiscount.

1.2

The Services include an online platform that provides buyers (“Buyers”) and sellers (“Sellers”) (collectively referred to as “you,” “Users,” or “Parties”) the opportunity and place to sell goods. The actual sales contract is directly concluded between the Buyer and the Seller. Cdiscount is not a party to the contract or any other agreements between the Buyer and Seller, and assumes no related obligations. The parties are responsible for the sales contract, product listings, purchase guarantees, and other matters. Cdiscount does not participate in transactions between Users. Cdiscount may choose whether to pre-screen Users or content/information provided by Users. Cdiscount reserves the right under Section 6.4 to remove any content or information you post on the Website. Cdiscount cannot guarantee that Users will complete any transaction.

Before becoming a User of the Website, you must read and accept these Terms and all terms and conditions referenced or linked herein, and you must agree to the way personal data is processed as described in our Privacy Policy.

1.4

Cdiscount reserves the right to change, modify, suspend, or terminate all or part of the Website or Services at any time and may issue notices as required by local laws. Cdiscount may release beta services or features that may not function properly or may differ from the official version. Cdiscount is not responsible for such cases. Cdiscount may also, at its discretion, limit certain features or restrict your access to part or all of the Website or Services, without prior notice or liability.

1.5

Cdiscount reserves the right to refuse you access to the Website or Services, or to refuse the opening of an Account, for any reason.

By using the Services or opening an Account, you irrevocably accept and agree to these Terms, including any additional terms, conditions, and policies referenced or linked herein.

If you do not agree with these Terms, do not use our Services or access the Website. If you are under 18 years old or below the legal age in your country (“Legal Age”), you must obtain permission from your parent or legal guardian to open an Account, and that parent or guardian must agree to these Terms. If you are unsure whether you meet the Legal Age or do not understand these Terms, do not create an Account before consulting your parent or guardian. If you are the parent or guardian of a minor account, you must accept these Terms on behalf of the minor and are responsible for all use of the Account or Company Services, whether existing or subsequently created.

2. Privacy

2.1

Your privacy is very important to Cdiscount. To better protect your rights, we provide the Cdiscount Privacy Policy, which details our privacy practices. Please read the Privacy Policy to understand how Cdiscount collects and uses information related to your Account and/or Service use (“User Information”). By using the Services or providing information on the Website, you:

(i) Agree that Cdiscount may collect, use, disclose, and/or process your content, personal data, and User Information in accordance with the Privacy Policy;
(ii) Acknowledge and agree that ownership of your User Information is jointly held by you and Cdiscount;
(iii) Shall not, without Cdiscount’s prior written consent, directly or indirectly disclose User Information to any third party, nor allow third parties to access or use User Information.

2.2

Users who obtain personal data of others through the Services (“Recipients”) agree to:
(i) Comply with applicable French data protection laws (including the General Data Protection Regulation, GDPR);
(ii) Allow the user providing personal data (“Discloser”) to delete their data from the Recipient’s database;
(iii) Allow the Discloser to view the personal information collected by the Recipient, in accordance with applicable law.

9. Purchase and Payment

9.1

Cdiscount supports the following payment methods (may vary by country):
(i) Credit Card (processed via third-party payment gateways; commonly used in France: Visa, MasterCard, American Express);
(ii) Cash on Delivery (COD) (only available in certain regions of France);
(iii) Bank Transfer (provide transfer receipt or reference number; French banks such as BNP Paribas, Société Générale, etc.);
(iv) Installment Payments (over €500, via partner banks or financial institutions);
(v) Deferred Payment Services (e.g., SPayLater, provided by partner financial institutions in France, such as Klarna France or others).

9.2

You may change your preferred payment method before making a payment.

9.3

Cdiscount is not responsible for losses or liabilities arising from incorrect payments or shipping information. Cdiscount may verify the Buyer’s authorization to use the payment method and may suspend or cancel transactions if necessary.

10. Seller Wallet

Sections 10.1–10.8 remain unchanged, except references to Malaysian statutory authorities or regulations are replaced with the relevant French regulatory bodies or laws, such as the French Consumer Code and the French Unclaimed Funds Law or Banque de France regulations.

13. Dispute Resolution and Governing Law

13.1 These Terms are governed by and construed in accordance with French law.
13.2 In case of disputes arising from these Terms or the use of the Services, both parties shall first seek to resolve the matter amicably.
13.3 If amicable resolution fails, both parties agree to submit the dispute to a French court with jurisdiction.
13.4 Except as required by law, Cdiscount is not responsible for any loss or liability caused by third-party actions or force majeure events.

14. Force Majeure

Cdiscount is not responsible for service interruptions or losses caused by natural disasters, war, strikes, power outages, internet failures, or other events beyond its control.

15. Disclaimer

15.1 Cdiscount makes no express or implied warranties regarding the accuracy, completeness, or availability of the Services or Content.
15.2 You expressly understand and agree that your use of the Services is at your own risk.
15.3 To the maximum extent permitted by applicable law, Cdiscount is not liable for any direct, indirect, incidental, special, or consequential damages arising from the use of the Services.

16. Amendments

Cdiscount reserves the right to modify, update, or supplement the Terms of Service at any time. Modified Terms will be posted on the Website or communicated to Users by other means. Continued use of the Services constitutes acceptance of the updated Terms.
